Terms of Use

These Terms of Use (“Terms”) govern the Swapizy app, website, and related services operated by Utopia Applications LLC (“Swapizy”, “we”, “us”) for users in New Zealand. By choosing to continue in the app, creating an account, or using Swapizy, you agree to these Terms and acknowledge the Privacy Statement. If you do not agree, do not use the service.

What Swapizy does

Swapizy helps users discover possible item-for-item swaps. Users add items, select one active item, choose categories, browse nearby items, like or dislike items, and chat after a mutual match.

Swapizy does not sell items, process payments, set prices, guarantee item condition, supervise meetings, guarantee that a swap will happen, or act as a party, broker, transporter, or escrow provider in an exchange.

Eligibility and accounts

You must be at least 18 years old and legally able to agree to these Terms. You must provide accurate account information, use only an account you control, protect access to your phone and sign-in providers, and promptly notify us of suspected unauthorised access.

You may not create another account to evade a block, ban, report, investigation, or the 180-day safety restriction following account deletion. You are responsible for activity through your account unless New Zealand law provides otherwise.

User responsibilities

You agree to:

  • list only tangible items that you own or are authorised to exchange;
  • provide accurate titles, categories, descriptions, and current photos;
  • disclose material damage, safety issues, missing parts, and known defects;
  • communicate respectfully and use chat only for lawful exchange coordination;
  • comply with New Zealand law and third-party rights;
  • use reasonable judgement when choosing an item, user, meeting place, and exchange;
  • report suspected fraud, prohibited content, threats, or unsafe behaviour.

Prohibited items and conduct

You may not list, request, exchange, promote, facilitate, or discuss through Swapizy:

  • illegal, stolen, counterfeit, recalled, unsafe, or unlawfully imported goods;
  • weapons, ammunition, explosives, controlled substances, drug paraphernalia, hazardous materials, or items requiring a permit or licence;
  • medicines and pharmaceuticals, medical products offered contrary to law, alcohol, energy drinks, tobacco, nicotine, vaping products, or other age-restricted goods;
  • live animals, human remains or body parts, sexual services, sex toys, pornography, nudity offered as content, or other sexually explicit or sexualised content;
  • identity documents, financial accounts or instruments, credentials, personal data, surveillance material, or access to another person’s systems or accounts;
  • services, rentals, raffles, gambling, fundraising, cash exchanges, gift-card schemes, or requests for advance payment;
  • goods or content that infringe copyright, trade mark, privacy, publicity, or other rights;
  • scams, phishing, spam, malware, impersonation, deceptive links, manipulation of matching, or coordinated fake engagement;
  • harassment, stalking, threats, hate, discrimination, exploitation, trafficking, grooming, or content that sexualises or endangers minors;
  • attempts to bypass safety controls, moderation, rate limits, reports, blocks, account restrictions, or lawful preservation requirements.

This list is not exhaustive. We may restrict another item or behaviour when reasonably necessary for safety, law, provider rules, or service integrity.

Matching, chats, and user content

A like indicates potential willingness to exchange the active item for the liked item. A match occurs only when both relevant users like each other’s items. A match is not a contract, valuation, warranty, reservation, or obligation to exchange.

You keep ownership of content you upload. You grant Swapizy a worldwide, non-exclusive, royalty-free licence to host, store, copy, resize, display, transmit, and moderate that content only as reasonably needed to operate, secure, enforce, and improve the service. This licence ends when the content is deleted, except for copies that remain in normal backups or records lawfully retained for another user, safety, moderation, complaint handling, or legal purposes.

Do not post sensitive personal information in listings or chats. Messages and attachments may be preserved and reviewed when needed to investigate a report, abuse, fraud, a safety issue, a formal content notice, or a valid legal request.

Reports, blocks, and moderation

You can report items or accounts in the app, including conduct that occurred in a chat. You may provide additional chat details to support. You can also block a user; blocking hides relevant content and prevents continued interaction in the affected chat.

We may use automated checks and human review. A new or edited listing may remain hidden while checks run, and an automated safety signal may temporarily hide it pending a human decision. An AI result alone does not permanently reject a listing or ban an account. An authorised reviewer may approve or reject content, freeze chats, limit visibility, preserve evidence, suspend or ban accounts, or refer a matter to a provider or competent authority. Action may occur without advance notice when needed for safety, legal compliance, investigation integrity, or service security.

Reports are not emergency services. If anyone faces immediate danger in New Zealand, call 111. To appeal an enforcement decision, contact support with the account information and relevant context.

Harmful digital communications and content notices

New Zealand users may submit a formal notice about specific user content through the content notice form in Support. The form requests the information needed under sections 24 and 25 of the Harmful Digital Communications Act 2015, including how to locate the content, why it is unlawful or breaches a communication principle and has caused harm, and whether the complainant agrees to identification details being shared with the author.

When we receive a valid notice covered by the statutory online-content-host process, we will contact the author within the required 48-hour period, protect identity details according to the complainant’s choice, provide an opportunity for a valid counter-notice, and remove or retain the content as the Act requires. We may remove content sooner under these Terms where safety, illegality, privacy, or service integrity requires it. Copyright complaints may follow a different legal process.

Authors who receive a notice may send a counter-notice to support@utopiaapplications.com. A valid counter-notice must include the author’s name, telephone number, physical address, email address, whether the author consents to identifying information being released to the complainant, and whether the author consents to removal of the specific content.

Meetings and exchanges

Swapizy does not verify every user’s identity or inspect listed items. Consider meeting in a well-lit public place, telling someone where you are going, inspecting the item before exchanging, and ending the meeting if anything feels unsafe. Never send money or verification codes to another user.

Each user is solely responsible for the item they provide, the item they accept, the meeting, and any agreement made with another user.

Account deletion and termination

You may delete your account directly in the app or use the methods on the account deletion page. Deletion removes the account from normal use immediately, while limited identifiers and safety records may remain as described in the Privacy Statement.

We may limit, suspend, or terminate access if you violate these Terms, create risk, abuse the service, infringe rights, or expose Swapizy or others to legal or security harm. Provisions that by their nature should survive termination, including ownership, retained-content licences, disclaimers, and liability limits, remain effective.

Service availability and changes

We may maintain, change, limit, suspend, or discontinue features. We do not guarantee uninterrupted availability, preservation of drafts, a minimum number of nearby items, matches, messages, or a successful exchange. Where reasonably possible, we will avoid changes that unnecessarily impair existing user rights.

Intellectual property

Swapizy’s software, logo, design, and service content are owned by Utopia Applications LLC or its licensors. Except as allowed by law, you may not copy, sell, sublicense, scrape, interfere with, reverse engineer, or misuse the service.

Consumer guarantees and fair trading

Nothing in these Terms excludes, restricts, or modifies a right or remedy that cannot lawfully be excluded under the Consumer Guarantees Act 1993, Fair Trading Act 1986, or another applicable New Zealand law.

To the extent permitted by law, Swapizy is provided “as is” and “as available”. We do not warrant that a user listing is accurate, lawful, authentic, safe, available, or fit for a purpose; that a user is who they claim to be; or that a meeting or exchange will be successful or safe.

To the maximum extent permitted by law, Utopia Applications LLC is not liable for indirect, incidental, special, consequential, exemplary, or punitive loss; lost profit or data; personal arrangements between users; item defects; failed exchanges; or user conduct. A limitation applies only to the extent valid under New Zealand law and does not apply to liability that cannot legally be limited.

Applicable law and disputes

These Terms are governed by New Zealand law for users ordinarily resident in New Zealand, without excluding any mandatory right or forum available under that law. Before filing a non-urgent claim, contact us so the parties can try to resolve it. New Zealand courts and authorities retain any jurisdiction they must have under applicable law.

If one provision is held unenforceable, it will apply to the greatest lawful extent and the remaining provisions will remain effective.

Changes to these Terms

We may update these Terms when the service, risks, providers, or laws change. We will update the date above and provide additional notice or request renewed acceptance when required for a material change. Changes do not retroactively remove rights that already accrued.
